This is a translation from original Terms and Conditions in German language. For all legal purposes original German version should be used.

1. Scope of Application
These General Terms and Conditions (“AGB”) apply to the use of the website https://www.caribou-esgtoolbox.com and the Caribou ESG Toolbox services (collectively the “Service”) provided by:

By accessing or using the Service, you agree to these AGB. If you do not agree, you may not use the Service.
2. Description of Services
The Caribou ESG Toolbox is a web-based tool that helps users analyze, manage, and report on Environmental, Social, and Governance (ESG) aspects. It may include templates, calculators, dashboards, report generation, and related resources. We provide the Service “as is” and may update or modify it at any time.
3. User Account and Registration
Certain features require registration. You must provide accurate and complete information and keep it updated. You are responsible for the security of your account credentials. We may suspend or terminate accounts for violations of these AGB.
4. User Obligations and Acceptable Use
You agree to:

Use the Service only for lawful purposes and in compliance with applicable laws.

Not misuse the Service (e.g., no reverse engineering, scraping, or overloading).

Not input illegal, harmful, or infringing content.

Comply with any usage limits or fair-use policies we may set.
You retain ownership of any data or ESG information you upload. However, you grant us a non-exclusive, royalty-free license to process it as necessary to provide the Service.
5. Intellectual Property
All content, software, designs, logos, and tools on the Service are protected by copyright, trademark, and other intellectual property rights and remain our property or that of our licensors. You receive a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes (or personal use if consultant tier). Any other use requires our prior written consent.
6. Fees and Payment
Access to premium features may require payment of fees. Prices are stated on the Service and include applicable VAT unless stated otherwise. Payments are due in advance. We may suspend access for non-payment. Fees are non-refundable except as required by law or explicitly stated.
7. Termination
You may terminate your use at any time by stopping access and deleting your account. We may terminate or suspend your access immediately for breach of these AGB, non-payment, or other good cause. Upon termination, your right to use the Service ends.
8. Warranties and Disclaimer
The Service is provided on an “as is” and “as available” basis without warranties of any kind. We do not guarantee uninterrupted availability, the accuracy of ESG calculations, or specific results. ESG data and outputs are for informational purposes only and do not constitute professional advice. You are responsible for your own compliance decisions and uploaded data, unless a separate consulting agreement has been entered into with us.
The Customer (entrepreneur/consultant) is obliged to inspect the generated report for accuracy and completeness immediately upon delivery (§ 377 HGB). Defects must be reported in writing without undue delay, at the latest within 3 business days. Otherwise, the report is deemed accepted.
9. Limitation of Liability
To the extent permitted by law, our liability is limited as follows:

We are liable without limitation for intent and gross negligence, injury to life/body/health, or under the Product Liability Act.

In cases of slight negligence, we are liable only for breach of essential contractual obligations (cardinal duties), limited to foreseeable, typical damage.

We are not liable for indirect or consequential damages (e.g., loss of profit, data loss) unless caused intentionally or by gross negligence.

This limitation applies equally to our legal representatives and vicarious agents.
10. Right of Withdrawal
The services offered by Caribou ESG Toolbox UG are intended exclusively for entrepreneurs or companies within the meaning of § 14 BGB. Therefore, a statutory right of withdrawal for consumers pursuant to § 355 BGB does not exist.
Should the customer use the service as a consumer contrary to this provision, the right of withdrawal expires prematurely as soon as Caribou ESG Toolbox UG has begun execution of the contract (report generation). This occurs at the express request of the customer and upon confirmation of their knowledge of the associated loss of the right of withdrawal.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or costs (including reasonable attorney fees) arising from your violation of these AGB, your content, or your use of the Service.
12. Changes to the AGB
We may update these AGB with reasonable notice (e.g., by posting the new version on the website with the new effective date). Continued use after changes constitutes acceptance. If you do not agree, you must stop using the Service.
13. Severability
If any provision is invalid, the remaining provisions remain effective. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose.
14. Governing Law and Jurisdiction
These AGB are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is Wiesbaden. Otherwise, statutory places of jurisdiction apply.
15. Alternative Dispute Resolution
We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
